TERMS OF SERVICE

Please read these Terms of Service (the "Agreement") carefully. Your use of the Platform (as defined below) constitutes your consent to this Agreement.

This Agreement is between you and Lifestyle Vacation Clubs ("Company", "we", "us", or "our"), concerning your use of (including any access to) the LVC platform currently located at https://lifestylevacationclubs.com (together with any materials and services available therein, and successor Platform(s) thereto, the "Platform"). This Agreement hereby incorporates by this reference any additional terms and conditions posted by Company through the Platform, or otherwise made available to you by Company.

BY USING THE PLATFORM, YOU AFFIRM THAT YOU ARE AT LEAST 18 YEARS OF AGE.

The Platform is designed primarily for individual consumers seeking travel and vacation services. If you are accessing or using the Platform on behalf of, or for the benefit of, any corporation, partnership or other entity with which you are associated (an "Organization"), then you are agreeing to this Agreement on behalf of yourself and such Organization, and you represent and warrant that you have the legal authority to bind such Organization to this Agreement. References to "you" and "your" in this Agreement will refer to both the individual using the Platform and to any such Organization.

THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION PROVISION THAT, AS FURTHER SET FORTH IN SECTION 9 BELOW, REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR ANY OTHER COURT PROCEEDINGS, OR CLASS ACTIONS OF ANY KIND.

About the Platform:

Lifestyle Vacation Clubs provides a membership-based travel booking platform offering discounted hotel bookings, flight reservations, car rental services, cruise bookings, promotional vacation packages, and travel planning resources.

We make available our proprietary travel booking engine (the "Booking Engine") through our Platform. The Booking Engine connects travel members with travel products and services of third party suppliers ("Travel Suppliers"), and allows Platform users that have opened an account with us ("Users") to create, modify and view travel itineraries and to purchase, reserve, acquire, rent or consummate, or approve the purchase, reservation, acquisition, rental or consummation of ("Reserve"), travel products or services, including, flights, accommodations, or rental cars ("Travel Bookings") that are provided by the Travel Suppliers.

Travel Bookings made available through the Booking Engine by the Travel Suppliers are subject to the applicable Travel Supplier's terms, conditions, rules and policies, including refund, exchange, and cancellation policies (the "Travel Supplier Policies"). Once a Travel Booking has been Reserved, we act as an intermediary between Users and Travel Suppliers. We seek to transmit the relevant details of the Travel Booking to the relevant Travel Suppliers. We do not sell, resell, lease, rent, package or otherwise offer any travel product or service. For clarity, if you use the Booking Engine to Reserve a Travel Booking, you will enter into a direct relationship with the relevant Travel Supplier(s) for the Travel Booking. You agree to abide by all Travel Supplier Policies.

2.1 Available Tiers

• Guest (Free): Limited access to basic features
• Voyager: Access to hotel bookings with member rates
• Explorer: Access to hotels, flights, and car rentals
• Adventurer: Full access to all travel services including cruises

2.2 Membership Fees

• Membership fees are charged monthly or annually as selected during signup
• All fees are non-refundable except as required by law
• We reserve the right to modify membership pricing with 30 days notice to active members

2.3 Free Trial

• New members may be eligible for a free trial period
• Trial periods will automatically convert to paid memberships unless cancelled before the trial end date
• Only one trial per person/household is permitted

3.1 Account Requirements

• You must be at least 18 years old to create an account
• You must provide accurate, complete, and current information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account

3.2 Account Security

• Notify us immediately of any unauthorized use of your account
• We are not liable for any loss or damage from your failure to maintain account security
• Sharing account credentials is prohibited

4.1 Third-Party Services

• Hotel, flight, car rental, and cruise bookings are provided through our booking partners, wholesalers, and bed banks (e.g. Expedia, Booking.com)
• All bookings are subject to the terms and conditions of the service provider
• We act as an intermediary and are not responsible for the actions or omissions of third-party providers

4.2 Promotional Vacations

• Promotional vacation packages require attendance at a mandatory 90-minute presentation
• Failure to attend the required presentation may result in charges at the hotel's full rack rate
• Promotional vacation availability is subject to blackout dates and capacity restrictions
• Cancellation policies vary by resort and package

4.3 Pricing and Payment

• All prices are displayed in USD unless otherwise noted
• Prices are subject to change without notice until booking is confirmed
• Payment is processed securely through Stripe
• You authorize us to charge your payment method for all fees incurred

5.1 Membership Cancellations

• You may cancel your membership at any time through your account settings
• Cancellations take effect at the end of the current billing period
• No refunds will be issued for partial months or unused services

5.2 Booking Cancellations

• Booking cancellations are subject to the policies of the service provider
• Cancellation fees may apply
• Refund eligibility and timing are determined by the service provider

You agree not to:

• Use the service for any illegal purpose
• Violate any laws in your jurisdiction
• Infringe on the intellectual property rights of others
• Transmit any harmful code, viruses, or malware
• Attempt to gain unauthorized access to our systems
• Harass, abuse, or harm other users
• Use automated systems to access the service without permission
• Resell or redistribute our services without authorization

7.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 Service Availability

• We strive to maintain continuous service availability but do not guarantee uninterrupted access
• We may suspend or terminate service for maintenance, updates, or other reasons

7.3 Third-Party Services

• We are not responsible for the quality, safety, or legality of third-party services
• All bookings with third-party providers are subject to their terms and conditions

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
• SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU

9.1 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

9.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law.

9.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Sending an email to your registered email address
• Displaying a notice on the platform

Your continued use of the service after changes constitute acceptance of the modified Terms.
